Article 1 - NAME & JURISDICTION
- 1.1 NAME:
- This Association of Units shall be known as the Florida Shrine _____________________________Association, and it shall hereinafter be referred to as Association.
- 1.2 JURISDICTION:
- This Association is subject to regulations by the Imperial Council, The Florida Shrine Association to which it is appendant, and the Potentates of the Temples in the jurisdiction of which it meets from time to time.
Article 2 - MEMBERSHIP
- 2.1 MEMBERSHIP:
- All _____________________________Units and / or organizations of the member Temples shall be eligible for membership.
- 2.2 VOTING:
- Each member Temple shall have three (3) votes in this Association. These votes shall be divided equally among the member Units of that member Temple. These votes may be cast individually or collectively by an individual designated by such units (fractional votes are allowed). (by way of explanation) "Usually a Temple will have only (1) Unit, i.e. Legion of Honor, Oriental Band, etc. This means that such Temple Unit has three (3) votes. If a Temple has two (2) such Units, then each Unit receives 1 ½ votes.

- Each elected officer of this Association may have one (1) vote individually.
ARTICLE 3 - DUES
- 3.1 DUES:
- The dues, if any, shall be voted on and passed by a majority of the voting members present at an Annual Meeting.
ARTICLE 4 - OFFICERS
- 4.1 OFFICERS:
- The Officers of this Association shall be a President, a First Vice-President, a Second Vice-President, a Secretary, and a Treasurer, or a Secretary-Treasurer. The President and Vice Presidents shall each be from different member Temples. The Secretary-Treasurer may be from any member Temple. Substitute titles for officers are permissible.
- 4.2 TERM OF OFFICE:
- All officers shall be elected at the Annual Meeting and shall serve until their successors have been duly elected and installed. The term of office shall be for one (1) year. The Secretary-Treasurer may be re-elected to succeed himself.
- 4.3 EXECUTIVE COMMITTEE:
- An Executive Committee shall be composed of the Elected Officers of this Association and shall be empowered to act for the Association.
- 4.4 VACANCY IN OFFICE:
- In the event of a vacancy in office, the Executive Committee shall appoint a replacement to serve until the next Annual Meeting.
ARTICLE 5 - DUTIES OF OFFICERS
- 5.1 DUTIES OF OFFICERS:
- The duties of the Officers shall be commensurate with the normal duties of such officers in Shrine organizations and as designated by the Association.
ARTICLE 6 - MEETINGS
- 6.1 MEETINGS:
- This Association shall meet annually during the same time period and area as the FLORIDA SHRINE ASSOCIATION Annual Meeting.

- All Officers and Members of the Temple, Uniformed Unit and Unit Associations, shall be housed in the same Hotel as selected by their individual Temple, subject to the approval of the Host Temple F.S.A. Housing Chairman. No Unit Association shall be housed as a group in a Hotel not assigned to the Host Temple F.S.A. housing Chairman.
Failure of Unit Associations to comply with this may result in the loss of their charter and unit recognition.
- 6.1 (b)
- All Florida Shrine Association Unit Members will be required to show proof of registration fee prior to entering into any Unit competition.
- 6.2 MID-YEAR MEETINGS:
- The Association may hold a mid-year meeting at a time and place as designated by the President, provided (10) days written notice is given to the member Units.
- 6.3 SPECIAL MEETINGS:
- Special meetings may be called by the President at his discretion, and shall be called by the President when requested by two (2) member Units of two (2) member Temples. Ten (10) days written notice must be given all member Units before the Special Meeting.
- 6.4 QUORUM:
- Representatives from a majority of member Units of the member Temples of the Association shall constitute a quorum for the transaction of business.
ARTICLE 7 - RULES & REGULATIONS
- 7.1 RULES & REGULATIONS:
- This Association may adopt its own Rules & Regulations for competition, social affairs, etc., provided they are not in conflict with the By-Laws of the Florida Shrine Association, or the By-Laws or policies of the Imperial Council. Such Rules & Regulations will become effective upon the approval by the President of the Florida Shrine Association and this Association shall keep a current approved copy of such Rules & Regulations on file with the Secretary-Treasurer of THE FLORIDA SHRINE ASSOCIATION.
ARTICLE 8 - VIOLATION OF SHRINE LAW
- 8.1 PENALTY:
- For violation of Shrine Law or for other causes, the Imperial Potentate or the President of THE FLORIDA SHRINE ASSOCIATION may arrest the charter and suspend the activities of this Association.
- 8.2 PROHIBITED ACTIVITIES:
- This Association shall not endorse by resolution or otherwise, any Candidate for elective office in any Temple or the Imperial Council or adopt any resolution to take any actions suggesting, advocating, proposing, endorsing or opposing any legislation or action by the Imperial Council.
- 8.3 CRUISE-TOUR-TRIP:
- That no Unit Association shall engage or Promote any type of CRUISE-TOUR-TRIP in the name of the Florida Shrine Association or Florida Shrine Unit Association until all data pertaining to said promotion has been sent to the F.S.A. President and Secretary prior to any contract being signed and permission or denial has been received from the F.S.A.
- 8.4 CONFLICT WITH PRESIDENT'S ANNUAL BANQUET:
- No Florida Shrine Unit Association shall have any type of function on the night of the Presidents' Annual Banquet (usually held on Friday Evening during the Annual Meeting) without the approval of the President of the F.S.A. and the Director General of the Annual Meeting.
ARTICLE 9 - APPROVAL EFFECTIVE DATE & AMENDMENTS
- 9.1 AMENDMENT PROCEDURE - CHARTER:
- This Association must receive written authority from the Imperial Council and the Florida Shrine Association before it can be organized.
- 9.2 AMENDMENT PROCEDURE:
- These standardized Unit Association By-Laws shall not be amended by this Association. THE FLORIDA SHRINE ASSOCIATION may amend them from time to time with the approval of the Imperial Potentate.
- 9.3 IMPERIAL APPROVAL:
- These By-Laws shall be effective only after having been approved by the Imperial Potentate and likewise, amendments thereto shall be effective only after his approval.
- 9.4
- These By-Laws supersede all previous By-Laws of this Association.
