FLORIDA SHRINE ASSOCIATION BY-LAWS
Article I NAME AND JURISDICTION
- Section 1.
- The name of this association shall be:

- Section 2
- The jurisdiction of this association shall be within the State of Florida.
Article II MEMBERSHIP
- Section 1.
- Membership in this association shall be open to the Shrine Temples located in the state of Florida.
- Section 2.
- Voting members of this association shall be the Elected Officers, the Elective (7) Divan Members of Member Temples. All Past Presidents of the Association.
- Section 3.
- A.
- A Board of Directors shall be composed of the Elective Officers of this Association and the Current Potentates of the Member Temples.
- B.
- An Executive Committee shall be composed of the Elected Officers of this Association and shall be empowered to act for the Association.
Article III PURPOSE
- Section 1.
- The purpose of this association is to create and maintain a closer and more friendly Shrine relationship among the Temples in the State of Florida and the Nobility in general.
- Section 2.
- To promote the welfare of the Ancient Arabic Order of the Nobles of the Mystic Shrine of North America, in general and particularly in the State of Florida.
- Section 3
- To coordinate and encourage joint cooperation between Temples of Florida in fund raising projects for the benefit of the Shrine Hospitals for Children.
Article IV OFFICERS
- Section 1.
- A.
- The officers of this Association shall be President, a First Vice President, a Second Vice-President, a Third Vice-President, and a Secretary/Treasurer.
- B.
- The offices of the President, First Vice President, Second Vice-President, and Third Vice-Presidents shall be rotated among member Temples, in such a manner, of the scheduled Host Temples of the Florida Shrine Association Annual Convention, pursuant to Article VII-Section 4. below.
- C.
- The Secretary/Treasurer may be from any member Temple and may succeed himself in office. All officers of the Association shall be members of their respective Temples Elective Progressive Divan or a Past Potentate of their respective member Temple.
- D.
- The office of F. S. A. President shall be held by a Potentate or Past Potentate from a member Temple in accordance with the rotation as indicated in Addendum I.
- Section 2.
- The President and Vice Presidents' shall serve without compensation. The Secretary/Treasurer shall be paid an annual salary to be established at each annual session for the following year.
- Section 3.
- If a vacancy occurs in the office of President or a Vice-President, the remaining officers of the Association, with the advice of the Potentate of the Temple of such deceased, resigned, or disabled officer, shall fill the vacancy from among the member Nobles of the effected Temple, who are qualified to hold office under the By-Laws of this Association and such appointed Noble shall take the place in Line formerly held by such deceased, resigned, or disabled officer, until the next regular business session of the Association. Such appointed Noble shall have the same Status as the deceased, resigned or disabled officer.
- Section 4.
- If a vacancy occurs in the office of the Secretary/Treasurer, the President of the Association shall forthwith appoint a Noble of this association in the place of said Secretary/Treasurer and such replacement shall serve in that capacity as though he had been regularly elected, until the next regular business of the association. Such appointee must be in good standing in his Temple which is affiliated with the association.
Article V ELECTION AND DUTIES OF OFFICERS
- Section 1.
- The officers shall be elected and installed at each Annual Meeting of this association and shall serve in that capacity, commencing upon the conclusion of the annual session through the conclusion of the following annual session.
- Section 2
- At the Annual meeting of the Association, it will be the duty of the Temple in line under Article VII - Section 4, to place in nomination for Third Vice-President the candidate they have elected from their Temple at a regular stated meeting to be their nominee. In accordance with Article IV - Section 1 of these By-Laws.
- Section 3.
- A.
- The duties of the office of President and Vice-Presidents shall be commensurate with the normal duties of such offices of any Shrine organization.
- B.
- The duties of the Secretary / Treasurer shall include the following:
- a.
- Maintain records and minutes of the business sessions of the association.
- b.
- Collect all monies and dues for the association, maintain a double entry bookkeeping system with a general ledger. Pay all debts of the association and keep a just and accurate account thereof.
- c.
- Receive and answer all communications, mail or deliver all notices regarding association meetings, conventions or other business matters.
- d.
- Present a full and complete report for the fiscal year at each annual meeting session. The fiscal year shall be Jan.1 through Dec. 31 of each calendar year.
Article VI MEMBERSHIP DUES
- Section 1.
- Each member Temple of this association shall pay to the Secretary / Treasurer per capita dues of Ten (10) cents for each of Temple membership up to 6,000 members, prior to each annual session.
- Section 2.
- Fifty (50) percent of all dues collected shall be disbursed to the HOST TEMPLE for the Convention Annual Session expenses.
Article VII ANNUAL SESSIONS
- Section 1
- This association shall meet annually on or about the first Thursday, Friday and Saturday in May in the form of a State Shrine Association Convention. (This change will take place in the year 1998 session.)
- Section 2.
- The annual session shall be rotated among the member Temples as outlined in Article VII - Section 4 below.
- Section 3.
- It is proposed that the officers of the association will choose hotel accommodations for the Convention in the order listed below:
1st Choice ----- HOST TEMPLE (Outgoing President)
2nd Choice ---- 1st Vice President
3rd Choice -----2nd Vice-President
4th Choice -----3rd Vice-President
- Section 4.
- The Annual Meeting and Convention shall be in the jurisdiction of the Temple of the President of the Association unless such President waives that right. In such case, the officers of this association will determine the site. The Annual Meeting and Convention shall rotate as follows:

- Section 5.
- New Temples shall automatically be placed in the line of succession following the latest annual convention prior to their charter date.
- Section 6.
- A.
- The Annual Convention shall include competition of the organized Unit Associations - Business Meeting - Parade - the Presidents Banquet and entertainment - and activities as the Host Temple may wish to provide.
- B.
- The Secretary of the F.S.A. will furnish a financial report form to each Director General and that report will be completed and returned to the Secretary within sixty (60) days of the close of the annual meeting. The Secretary shall then forward to each Florida Shrine Association Officer and the up-coming Director General a copy of the completed form.
- C.
- Procurement and expenses of trophies and awards shall be the responsibility of the Unit Associations.
- D.
- The Host Temple shall assist the Unit Associations in the arranging of facilities for Unit competition, business meetings, banquets, etc.
- E.
- All officers and members of the Temple, uniformed units and unit Associations shall be housed in the same Hotel as selected by their individual Temple, subject to the approval of the host Temple F.S.A. Housing Chairman. No Unit Association shall be Housed as a Group in a Motel not assigned to the Host Florida Shrine Association Convention Committee.
- F.
- ALL member Temples, their Units and Unit Associations MUST comply with Article VII - Section 6, Subparagraph E - Failure to do so may result in the loss of recognition for the Temple and its Units and may result in the loss of the Unit recognition.
- G.
- The Host Temple SHALL procure permits for the parades if needed.
- Section 7.
- A.
- A registration fee, to be established by the Officers of the Association will be required for each Noble who attends the Annual Session and Convention. It shall be the responsibility of each member Temple to submit such registration fees to the Host Temple in advance of the Convention.
- B.
- The Florida Shrine Association shall adopt a policy authorizing a surcharge of $1.00 on rooms used, per room, per night at the F.S.A. Annual Convention. The proceeds from the surcharge will go to the F.S.A.
Article VIII SPECIAL MEETINGS
- Section 1.
- Special Meetings may be called by the President or upon written request of two or more officers of this association to the President. Notice of such meeting shall be in writing given to voting members of this association at least fifteen (15) days in advance of such meeting.
Article IX AMENDMENTS
- Section 1.
- Amendments to these By-Laws may be made at any Annual Meeting, provided a simple majority of the elected officers of this association are present and provided that the voting members of this association have been notified in writing not less than seven (7) days prior to the time of the Annual Meeting of this association that proposed amendments will be considered.
